The rules for using Angled—account responsibilities, acceptable use, subscriptions/payments, cancellations, disputes, and platform policies.

These Terms and Conditions (“Terms”) govern your access to and use of Angled Inc’s website and platform (the “Services”). By using the Services, you agree to these Terms.


If you are using the Services on behalf of an organization (such as a hospital or health system), you represent that you have authority to bind that organization, and “you” includes that organization.


1) The Angled Platform

Angled provides a marketplace and workflow platform that helps Facilities post staffing needs and enables verified independent 1099 Clinicians to apply, communicate directly, complete credential intake, submit timesheets, and submit invoices.


Angled is not a medical provider and does not provide medical care.


2) Eligibility

Facilities: must be authorized businesses and provide accurate account and billing information.


Clinicians: must be licensed professionals, operate as independent 1099 contractors (sole proprietor/DBA/LLC as applicable), and meet Angled’s verification requirements including maintaining professional liability insurance (COI).


3) Accounts and Access

You agree to:

  1. Provide accurate information and keep it updated
  2. Maintain the confidentiality of your login credentials
  3. Use individual user accounts (do not share logins)
  4. Notify Angled promptly of unauthorized access


4) Direct Messaging

Angled provides an in-platform messaging system that allows Facilities and Clinicians to communicate directly regarding roles, scheduling, onboarding steps, and assignment details. Users must communicate professionally and must not use messaging for unlawful, abusive, or harassing conduct.


5) Timesheets, Approvals, and Invoicing

Clinicians must submit accurate timesheets.

Facility approval is required before invoicing and payout can be issued.

Angled may provide dispute workflows. Payment timing may be affected by disputes, missing documentation, or approval delays.


6) Fees and Billing

A. Facility Subscription Plans

Facility subscriptions are billed per the selected plan and Order Form (if applicable). All plans include unlimited postings (subject to fair use) and may include recruiting marketing features depending on plan tier.


B. Clinician Membership Plans

Clinician membership fees are billed in advance per the selected plan (Basic / Launch / Concierge). Clinicians may add optional upgrades (e.g., Accelerated Pay add-on) as offered.


C. Platform Admin Fee (Clinicians)

A 4% admin fee is applied to each approved invoice submitted through the platform.


D. Accelerated Pay (Clinicians)

If offered, Accelerated Pay provides next-business-day pay on eligible urgent shifts. Eligibility depends on shift designation, timesheet submission, facility approval, and published cutoff times.


E. Facility Invoice Payment Terms (if invoicing applies). Unless otherwise stated in your Facility agreement or Order Form, invoices are due Net 30 from invoice date. Angled may require Net 15 for certain plans or facilities (no discount). Late fees apply to unpaid, undisputed balances beginning on Day 31 at 1.5% per month (prorated daily) or the maximum rate permitted by law, whichever is less.


7) Cancellations

Clinicians: may cancel membership only if not actively working, not scheduled for upcoming shifts, and not in an active contract assignment (additional rules may apply in the Clinician agreement).


Facilities: subscription cancellation is governed by the Facility agreement or Order Form.


8) Prohibited Uses


You agree not to:

  1. Use the Services for unlawful conduct
  2. Post false, misleading, or fraudulent information
  3. Interfere with the platform’s operation or security
  4. Attempt to access data you are not authorized to access
  5. Upload malicious code or harmful content


9) Intellectual Property

Angled and its licensors own the Services, including software, content, and branding. You receive a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes (Facilities) or personal professional use (Clinicians), subject to these Terms.


10) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” ANGLED DOES NOT GUARANTEE STAFFING OUTCOMES, FILL RATES, TIME-TO-FILL, OR UNINTERRUPTED ACCESS. ANGLED DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW.


Angled provides workflow tools and onboarding support but does not provide legal or tax advice.


11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANGLED WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.


12) Indemnification

You agree to indemnify and hold harmless Angled from claims arising out of your use of the Services, your postings, your messages, or your breach of these Terms.


13) Governing Law; Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.


Any dispute arising out of or relating to these Terms shall be brought in the state or federal courts located in the State of Illinois, and the parties consent to jurisdiction and venue in such courts.


14) Changes to the Services or Terms

We may update the Services or these Terms from time to time. Updated Terms will be posted with a new effective date. Continued use of the Services means you accept the updated Terms.
